1. Scope and acceptance
1.1 These Priority Access Terms & Conditions (“Terms”) govern the Priority Access programme and the €1,500 deposit (“Deposit”).
1.2 By paying the Deposit, you enter into these Terms with Bliq GmbH (“Bliq”).
1.3 You confirm that you are at least 18 years old and have the legal capacity to enter into these Terms.
2. Definitions
2.1 “Priority Access” means the programme that provides priority for first-wave access when Bliq launches in your City and provides the Trial Month described in these Terms.
2.2 “Deposit” means the amount of €1,500 paid at checkout, unless otherwise displayed.
2.3 “City” means the city selected by you at checkout or otherwise confirmed by Bliq in writing.
2.4 “Launch” means the moment Bliq notifies you in writing that the service is available in your City and bookings can begin.
2.5 “Launch Notice” means the written notification of Launch.
2.6 “Service Zone” means the geographic area within which the service is available at Launch in your City.
2.7 “Trial Month” means one month of service access starting on your first booking after Launch, including up to 60 hours of service usage.
2.8 “Start Window” means the period of 30 days from the date of the Launch Notice.
2.9 “Membership Agreement” means the separate contract governing paid membership after the Trial Month.
3. Nature of Priority Access
3.1 Priority Access provides priority for first-wave access at Launch in your City.
3.2 Priority Access includes the Trial Month benefit, subject to these Terms.
3.3 Paying the Deposit does not create a Membership Agreement.
3.4 Priority Access does not guarantee that Bliq will launch in any specific City by any specific date.
3.5 Services are provided only within the Service Zone and are subject to operational constraints, including safety requirements, technical limitations, capacity and booking rules.
4. Deposit and payment
4.1 The Deposit is payable at checkout and processed by Bliq’s payment provider.
4.2 The Deposit is not held in escrow or trust and does not accrue interest.
5. Launch communications
5.1 Where feasible, Bliq will provide a timeline and send a reminder at least 14 days before Launch.
5.2 Bliq will inform you of the applicable Service Zone before Launch.
5.3 Bliq may contact you by email and, if provided, by phone for the purpose of administering Priority Access, onboarding and scheduling.
6. Trial Month
6.1 To receive the Trial Month, you must start it by making your first booking within the Start Window.
6.2 The Trial Month includes up to 60 hours of service usage.
6.3 Unused hours do not roll over and have no cash value.
6.4 Trial Month usage is limited to the Service Zone and is subject to operational rules and constraints.
6.5 If you require more than 60 hours during the Trial Month, you may contact Bliq to request additional hours. Any additional hours are subject to availability and a separate agreement.
6.6 To make a booking, you must complete any onboarding steps communicated by Bliq prior to booking.
7. First-wave access
7.1 Priority Access prioritises you for the first wave at Launch in your City.
7.2 If you are within the Service Zone at Launch and seek to start within the Start Window, Bliq will allocate capacity to enable you to begin the Trial Month within the Start Window, subject to onboarding and safety requirements.
7.3 If Bliq is unable to enable you to begin the Trial Month within the Start Window due to Bliq’s constraints, you may request a full refund of the Deposit.
8. Refunds
8.1 The Deposit is fully refundable until Launch in your City.
8.2 You may request a refund before Launch by contacting hello@bliq.ai.
8.3 If Bliq does not launch in your City, you may request a full refund at any time.
8.4 After Launch in your City, the Deposit is not refundable except as provided in Clause 7.3 and subject to mandatory consumer rights.
8.5 Approved refunds will be made using the original payment method. Processing times depend on banks and payment providers.
9. Failure to start within the Start Window
9.1 If you do not start the Trial Month within the Start Window, the Trial Month benefit expires and the Deposit is not refunded.
9.2 In that case, the Deposit becomes a €1,500 credit that may be applied to the first month invoice under a Membership Agreement if you later choose to enter into one.
9.3 The credit does not expire, is not transferable, and cannot be redeemed for cash except where a refund is required under these Terms or mandatory law.
9.4 If the first month invoice under the Membership Agreement is less than €1,500, any unused portion of the credit is forfeited and will not be paid out or carried forward.
10. After the Trial Month
10.1 After the Trial Month, you may choose to enter into a Membership Agreement.
10.2 You are not required to enter into a Membership Agreement.
10.3 If you start the Trial Month within the Start Window, the Deposit is retained by Bliq as consideration for Priority Access and the Trial Month and is not credited against any later membership invoices.
11. Damage and cleaning
11.1 You are responsible for damage you cause to the vehicle or excessive soiling beyond normal use.
11.2 Bliq may charge reasonable repair or cleaning costs, supported by appropriate documentation where necessary.
12. Changes and termination
12.1 Bliq may amend these Terms for legal, regulatory or operational reasons where such amendment is necessary and reasonable.
12.2 If changes materially disadvantage you before Launch, you may cancel and receive a refund under Clause 8.1.
12.3 Bliq may refuse or cancel Priority Access in cases of fraud, abuse or serious safety risk.
13. Liability
13.1 Nothing in these Terms limits liability where it cannot be limited under applicable law.
13.2 Subject to mandatory law, Bliq shall be liable without limitation in cases of intent or gross negligence and for damages resulting from injury to life, body or health. In the event of a slightly negligent breach of a material contractual obligation, Bliq’s liability is limited to the typical foreseeable damage; otherwise, Bliq’s liability is excluded.
14. Consumer right of withdrawal
14.1 If you are a consumer and concluded this contract online, you have a statutory right of withdrawal within 14 days of placing the Deposit.
14.2 To exercise your right of withdrawal, you must inform Bliq of your decision by an unequivocal statement sent to hello@bliq.ai.
14.3 If you withdraw validly, Bliq will refund the Deposit within 14 days of receiving the withdrawal notice, using the same payment method unless agreed otherwise.
15. Dispute resolution
15.1 Bliq GmbH is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board under the German Consumer Dispute Resolution Act (VSBG).
16. Governing law
16.1 These Terms are governed by the laws of Germany.
16.2 Mandatory consumer protection provisions of your country of residence remain unaffected.
16.3 The place of jurisdiction is Berlin where it is legally permissible.
